Terms & Conditions

Last updated: 24 October 2026

Welcome to Happy Source. These Terms & Conditions (“Terms”) govern your access to and use of https://happysource.in/ and the services offered by Happy Source.

By accessing our website, submitting an enquiry, or engaging us for a service, you agree to the terms applicable to that activity. If you do not agree with these Terms, please do not use the website or proceed with the relevant service.

These website Terms do not replace a separate quotation, statement of work, project proposal, maintenance plan, or service agreement. Where a separate agreement is signed or expressly accepted for a project, the documents should be read together. If they conflict, the agreed project-specific terms will take precedence for that project to the extent permitted by law.

1. About Happy Source

Happy Source provides digital and technology services that may include:

  • Website design and development

  • E-commerce website and online store development

  • Android and iOS mobile application development

  • Digital business cards and digital contact pages

  • Logo design, branding, and related creative materials

  • AI automation and business workflow solutions

  • Digital marketing services

  • Website and application maintenance and technical support

The availability, scope, deliverables, and pricing of each service will be confirmed through the relevant quotation or project agreement.

2. Website Use

You agree to use our website lawfully and responsibly. You must not:

  • Use the website for unlawful, fraudulent, or misleading purposes.

  • Attempt to gain unauthorized access to our website, systems, or accounts.

  • Introduce malicious code or interfere with website security or operation.

  • Copy, misuse, or distribute website content in violation of applicable rights.

  • Submit false, misleading, or unauthorized information through our forms.

We may take reasonable steps to protect the website and restrict activity that threatens its security, integrity, or lawful operation.

3. Enquiries, Quotations, and Project Acceptance

An enquiry submitted through our website does not automatically create a contract or guarantee that we will accept a project.

Before work begins, we may provide a quotation or proposal describing the service scope, deliverables, estimated timeline, fees, payment milestones, client responsibilities, and other relevant conditions.

A project will proceed after the required acceptance, approvals, and initial payment, if applicable, have been completed.

If requirements change after acceptance, we may need to revise the quotation, delivery schedule, or project scope.

4. Pricing, Payments, and Taxes

The price, payment schedule, applicable taxes, and payment method for a service will be communicated in the relevant quotation, invoice, or agreement.

Unless otherwise agreed in writing:

  • Payments must be made according to the agreed invoice or payment schedule.

  • Work dependent on an advance payment may begin only after that payment has been received.

  • Additional features, integrations, revisions, or work outside the agreed scope may incur extra charges.

  • Any applicable taxes or third-party charges will be handled as specified in the quotation or invoice.

  • Delays in payment may affect project timelines or service continuation, subject to the agreement and applicable law.

We will communicate any agreed changes to pricing or scope before proceeding with the additional work.

5. Project Scope, Revisions, and Client Approvals

The project proposal or statement of work will define the agreed deliverables.

The client is responsible for reviewing designs, content, functionality, and milestones within the agreed review periods. Delayed feedback, missing materials, or late approvals may affect the delivery schedule.

The number and type of included revisions should be stated in the quotation or agreement. Requests beyond the agreed revision allowance, or requests that materially change the original scope, may require a separate estimate.

We will make reasonable efforts to deliver work according to the agreed requirements and communicate material issues that affect delivery.

6. Client Responsibilities

To help us deliver the agreed services, you agree to:

  • Provide accurate project information, content, and requirements.

  • Supply logos, images, text, product information, and other materials that you are authorized to use.

  • Provide necessary approvals, access credentials, and technical information through appropriate secure channels.

  • Review deliverables and report issues within agreed review or support periods.

  • Ensure that your supplied content, business activities, products, and instructions comply with applicable laws.

  • Maintain appropriate copies of important business content and records unless backup responsibilities are expressly included in the service agreement.

You must not provide materials that infringe another person’s intellectual property, violate privacy rights, or contain unlawful content.

7. Website and E-Commerce Development

For website and e-commerce projects, the agreed scope may cover design, development, responsive layouts, content integration, product setup, forms, payment integrations, or other specified features.

Unless expressly included in the agreement, the service does not automatically include:

  • Domain registration or renewal

  • Hosting, server, or premium software fees

  • Paid themes, plugins, extensions, or third-party licences

  • Ongoing content entry, product uploads, or data management

  • Search engine ranking guarantees

  • Legal, tax, accounting, or regulatory advice

  • Continuous monitoring or maintenance after project completion

The client is responsible for confirming the accuracy of its published business information, product details, prices, policies, and legal notices.

8. Mobile Application Development

Mobile application projects may involve design, development, testing, integrations, and submission assistance as specified in the agreement.

Approval and publication by third-party app stores are subject to their separate rules, review processes, fees, and policies. We cannot guarantee acceptance, uninterrupted availability, or continued approval by a third-party platform.

Developer accounts, platform fees, external APIs, hosting, licences, and ongoing maintenance will be handled as specified in the project agreement.

9. Digital Business Cards

Digital business card services may include a digital contact page, branded layout, contact details, links, or QR-code functionality, depending on the selected package.

The client is responsible for confirming the accuracy of the information supplied for the card and ensuring it has permission to publish any personal information, logos, or other materials included.

Features such as NFC support, contact downloads, analytics, profile editing, hosting duration, and future updates are included only when specifically agreed.

The client should verify the card and its links before distributing them. Continued availability may depend on hosting, domains, third-party services, and the agreed service period.

10. Logo, Branding, and Creative Services

Branding services may include logo design, business cards, banners, and other creative deliverables described in the quotation.

The agreed proposal should specify the deliverable formats, revision limits, and when ownership or usage rights transfer to the client.

Third-party fonts, stock assets, templates, or other licensed materials may remain subject to their original licence conditions. We do not grant rights that we do not own or have authority to transfer.

The client is responsible for checking that its final brand name, logo, slogans, and supplied materials do not infringe third-party rights. Trademark registration or legal clearance is not included unless expressly agreed.

11. AI Automation and Third-Party Integrations

AI automation projects may use external AI models, APIs, cloud platforms, or business software.

The relevant proposal should identify important integrations, usage limits, recurring charges, and any special data-handling requirements where applicable.

AI-generated results may be incomplete, inaccurate, or unsuitable for a particular use. The client should review important outputs before relying on them for business, financial, legal, medical, or other consequential decisions.

Clients must have the authority to submit information to any connected system and must not use an automation solution for unlawful processing or activity.

We will not guarantee that an external AI provider, API, or third-party service will remain available or operate without interruption.

12. Digital Marketing Services

Digital marketing work may include the activities expressly stated in the proposal, such as campaign setup, content, search engine optimization, or related support.

Search rankings, website traffic, leads, sales, advertising costs, and conversion rates depend on many factors beyond our control. Unless a specific outcome is expressly agreed in writing and is legally permissible, we do not guarantee a particular ranking, revenue level, number of leads, or advertising result.

Advertising platforms and other third parties may change their policies, prices, eligibility requirements, or systems. Any advertising budget, platform charge, and service fee should be clearly distinguished in the relevant agreement.

13. Maintenance, Support, and Updates

Maintenance and support are governed by the selected plan or project agreement.

The agreement should specify the covered systems, service period, included tasks, support channels, response targets if any, and exclusions.

Unless included in the agreed plan, maintenance may not cover new features, major redesigns, extensive content changes, third-party outages, recovery from unauthorized modifications, or additional integrations.

We recommend appropriate backups, access controls, software updates, and security measures. No system can be guaranteed to be completely secure or free from interruption.

14. Intellectual Property and Ownership

Happy Source and its licensors retain rights to materials they own, including pre-existing tools, reusable code, frameworks, processes, and website content, except where rights are expressly granted or transferred.

The ownership and permitted use of project-specific source code, designs, logos, documents, and other deliverables will be stated in the accepted proposal or agreement.

Unless otherwise agreed, third-party software, open-source components, fonts, stock assets, and platform tools remain subject to their applicable licences.

The client retains rights to materials it owns and supplies to us. By providing those materials, the client authorizes us to use them as reasonably necessary to perform the agreed services.

We will not assume permission to publish confidential client work, private information, or unpublished project materials in our portfolio. Any portfolio use should be agreed or otherwise lawfully authorized.

15. Confidentiality and Personal Information

Each party should handle the other party’s confidential information responsibly and use it only for the relevant business purpose, subject to applicable law and any separate confidentiality agreement.

Personal information is handled according to our Privacy Policy and applicable data protection requirements.

For client projects that involve personal information belonging to the client’s customers or users, the parties should document their respective responsibilities, permitted processing, security requirements, retention periods, and deletion arrangements where appropriate.

16. Third-Party Services

Our services may depend on hosting companies, domain registrars, payment gateways, app stores, social networks, external APIs, plugins, and other third-party providers.

Those providers may impose separate terms, charges, technical requirements, and usage restrictions. We are not responsible for independent decisions or outages caused by providers outside our reasonable control, subject to applicable law and any specific obligations we have accepted in writing.

Where possible, we will help identify relevant dependencies and explain the responsibilities assigned to each party in the project agreement.

17. Project Delays, Suspension, and Termination

Project delays may arise from missing client materials, delayed approvals, scope changes, payment issues, or third-party dependencies.

If a material issue affects delivery, the parties should communicate promptly and agree on reasonable next steps.

Either party may terminate a project in accordance with the accepted agreement and applicable law. The agreement should explain the treatment of completed work, unpaid invoices, committed third-party expenses, deposits, handover materials, and access credentials.

We may suspend access or work where reasonably necessary because of unlawful activity, a serious security risk, or a material breach, subject to applicable law and any contractual notice or cure requirements.

18. Refunds and Cancellations

Refund eligibility depends on the service purchased, work completed, payment terms, and applicable law.

Project-specific cancellation and refund conditions should be provided before the client commits to the service. If a separate Refund & Cancellation Policy applies, it should be read together with these Terms.

Nothing in this section is intended to exclude a refund, remedy, or other right that cannot lawfully be excluded or restricted.

19. Warranties and Limitation of Liability

We will perform agreed services with reasonable care and in accordance with the applicable project agreement and mandatory legal requirements.

Except for commitments expressly stated in the agreement or rights that cannot lawfully be excluded, we do not guarantee uninterrupted website operation, specific search rankings, third-party platform availability, or particular commercial results.

To the extent permitted by applicable law, liability for a claim arising from a service will be governed by the relevant agreement and applicable legal limits. Any contractual cap or exclusion should be expressly stated in the project agreement and reviewed for enforceability.

Nothing in these Terms excludes liability or consumer rights that cannot legally be excluded.

20. Changes to These Terms

We may update these Terms to reflect changes to our services, website, business practices, or applicable requirements.

The updated version will be published on this page with a revised “Last updated” date. Where required, we will provide additional notice or obtain consent.

Changes to an existing project agreement will be handled according to that agreement and applicable law.

21. Governing Law and Disputes

These Terms are subject to applicable Indian law, without removing any mandatory rights or protections that apply to a customer.

The parties should first attempt to resolve service-related concerns through good-faith communication. Any formal dispute-resolution procedure and competent jurisdiction should be specified in the relevant agreement and reviewed for legal enforceability.
